- Your applications that ran on the 32 bit platform might run but don't count on it. You'll be pressured to purchase the "NEW" 64 bit Office application.
- Better support for antivirus and antispam (you'll probably have to purchase this as well).
All in all, more blinky lights and better performance will make this a much more robust OS but everything comes at a price.

Wait wait wait. I'll be forced to upgrade windows because of new software, but I'll be forced to upgrade my software because of the new windows? I think you underestimate the "stay with what you have" option.
Microsoft faces a kind of challenge with 64-bit windows that it never has before. Compared to its predecesors Windows XP is remarkably stable and resistent to user abuse. Time was when we would all be racing to upgrade--3.1, 95, 98, the bastard ME all managed to fubar themselves in time for the next one to come out. With XP that's not the case--mine's running just as happily as it did the day I installed it.
But back to your original thought, sure Gates is pushing this new windows like a madman--he has to since his old trick went out in a sudden and uncharacteristic blaze of quality.
